In indemnification provision, a common approach is to exclude costs that result from the indemnified’s “gross negligence or willful misconduct.” However, if parties are to negotiate this matter, a middle ground can be achieved by inserting the italicised terms as follows “to the extent of Party’s gross negligence or willful misconduct.”

Acknowledging that there exists unanticipated conditions and events in an investment, parties should be amenable to make amendments, to grant waivers or to consent to mutually renegotiated terms (Fox, 2008).
